Exchange Hosting for April, 2004

DES MOINES, Iowa—April 27, 2004—Lighthouse Communications, Inc., a Midwest leader in high-performance data communications and value-added services, today announced the completion of its acquisition of Focal Solutions, LLC, a Phoenix area firm specializing in Microsoft Business Solutions and managed services for small to mid-sized businesses. The combined company will operate under the name of LightEdge Solutions, Inc., which better reflects the company’s mission of embracing technology leadership and providing best-in-class products, services and support.

Focal Solutions serves a customer base of small to mid-sized businesses in the greater Phoenix area, with its main office located in Scottsdale, Ariz. The acquisition combines Lighthouse’s data communications and value-added services with Focal’s business application outsourcing and managed IT services. Together, the emerging company is poised to take advantage of a new Service-on-DemandSM business model under which the company will offer fully-managed, end-to-end services including voice and data, Microsoft business applications and data center hosting services.

“Focal is the first acquisition in our strategy to grow the business because there is synergy between the capabilities and offerings of the two companies,” said Jim Masterson, president and chief executive officer of LightEdge Solutions. “At Lighthouse, we’ve built a high-speed, highly secure and high Quality of Service backbone network connecting IP points of presence in Des Moines, Omaha, Kansas City, Minneapolis, and Eastern Iowa markets. Expanding that network with Focal’s business and managed services will enable us to provide businesses with a more comprehensive managed services model in all of our existing Midwest markets as well as in the greater Phoenix area. Our business customers are technologically sophisticated and we’re seeing increased customer demand for the types of value-added offerings within our Service-on-Demand model.”

LightEdge’s Service-on-Demand strategy will enable businesses to acquire the level of network, business application and hosting services that they need, so they can focus on their core business, gain competitive advantage and scale for growth. With Service-on-Demand, businesses can secure their high-bandwidth connection from LightEdge and layer on any IT services, such as applications, security and monitoring. Rather than investing large amounts of capital on hardware and infrastructure, businesses can secure affordable monthly service from LightEdge.

All employees from both companies were retained. Co-founders Steve Jorgensen and Jason Studsrud of Focal Solutions will continue on with LightEdge Solutions as senior vice president of the Southwest region and senior vice president of Midwest operations respectively.

NAPLES, Fla., April 13, 2004 - Today at the NRS 19th Annual Spring Compliance Conference, LiveOffice Corporation (www.liveoffice.com), the leading provider of web sites, compliance systems and collaborative applications and National Regulatory Services (NRS, www.nrs-inc.com), a division of Thomson Media, and the top, national compliance consulting firm, announced a partnership that will help financial services firms better meet SEC, NASD and NYSE regulations regarding the monitoring and storage of electronic communications.

LiveOffice and NRS have formed a unique partnership that will make a valuable bundling of advanced technology and regulatory compliance expertise available to financial services organizations. The resulting products and services will help companies, including investment advisory firms and broker-dealers, quickly respond to the stringent and ever-changing regulatory requirements surrounding electronic communications.

To help financial firms identify and isolate non-compliant electronic communications, NRS has created a proprietary list of more than 1,000 potentially problematic words and phrases that financial organizations can use to automatically screen their representatives’ emails and instant messages. As part of the partnership, LiveOffice will offer the NRS eSupervisor Premium Lexicon as a recommended add-on to its AdvisorMail system, the leading solution for automated email and instant message monitoring, archival and retrieval.

NRS will also offer AdvisorMail clients access to its expert broker-dealer and investment adviser consulting services, allowing compliance personnel to work hand-in-hand with knowledgeable consultants to custom tailor the NRS eSupervisor Premium Lexicon to meet and exceed their organization’s specific needs.

“Financial services companies nationwide have come to rely on LiveOffice and NRS for help in meeting the strict compliance guidelines set forth by organizations like the SEC and NASD,” said Steve Uhring, vice president of sales and marketing for LiveOffice Corp. “In evaluating partnership opportunities, NRS’ consulting expertise and in-depth understanding of the current and future industry regulations proved to be the best fit for our customers and our company.”

In addition, LiveOffice will create a private-labeled version of AdvisorMail for exclusive distribution to NRS’ large customer base. This specialized branding will enable NRS to expand its compliance service offering, while reinforcing its outstanding reputation as the premier provider of regulatory compliance services.

“Our daily interactions with the nation’s leading financial services institutions and professionals have demonstrated an overwhelming need for this type of integrated supervisory system for electronic communications,” said Jon Higgins, executive vice president and chief operating officer for NRS. “Partnering with LiveOffice will enable us to provide the most effective and affordable electronic communications surveillance solution available today.”

LiveOffice will demonstrate AdvisorMail at the NRS 19th Annual Spring Compliance Conference taking place today through Friday at the Hyatt Regency Coconut Point Resort & Spa in Naples, Fla.
